§ 1 Geltungsbereich und Vertragsabschluss
1.
Unsere Lieferungen, Leistungen und Angebote erfolgen ausschließlich aufgrund dieser allgemeinen Geschäftsbedingungen in Deutschland.
2.
In Werbeanzeigen und Preisvergleichseiten usw. enthaltene Angebote sind – auch bezüglich der Preisangaben – freibleibend und unverbindlich.
3.
A purchase contract is concluded in one of the ways described below, depending on the type of offer:
In the case of online auctions, the contract is concluded at the end of the respective specified term with the customer who has submitted the highest bid – above the specified minimum price – by that time, unless we were legally entitled to withdraw the offer and cancel the bids.
If we have also provided the item with a fixed price function as part of the online auction, the contract is concluded immediately at the specified fixed price with the customer who exercises the fixed price option, irrespective of the expiry of the term and without further execution of an online auction. In this case, the contract can be concluded at the specified fixed price as long as no bid above the minimum price has been submitted.
If we have placed an item exclusively under the fixed price format, we submit a binding offer to conclude a purchase contract at the specified price when the offer page is activated. The customer accepts this offer by using the fixed price function.
If we have additionally provided an item listed under the fixed price format with the option for interested parties to make their own price suggestions, the customer can suggest a different price for the item. This suggestion constitutes a new offer that is binding for the interested party and can be accepted by us within 48 hours. If we reject the price proposal but submit a counter-proposal to the customer, this counter-proposal in turn constitutes a binding offer and can in turn be accepted by the customer within 48 hours. In this case, the original offer to purchase at a fixed price remains valid until a contract is concluded at the proposed price.
§ 2 Terms of delivery
1.
The goods will be delivered by DHL or a comparable provider. The shipping costs incurred are stated in the offer and are to be borne by the buyer.
2.
The buyer shall bear the costs of a further delivery as well as the costs of the necessary storage of the purchased item if we have offered him the service in a manner justifying default of acceptance. He shall also bear the costs arising from the fact that he culpably impedes delivery by providing an incorrect address.
3.
Kommt unser Vorlieferant trotz vorherigen Abschlusses eines entsprechenden verbindlichen Einkaufsvertrags seiner Lieferpflicht nicht oder nicht rechtzeitig nach, so können wir vom Vertrag zurücktreten. Wir werden den Kunden unverzüglich über die Nichtverfügbarkeit informieren. Im Fall des Rücktritts werden wir dem Kunden bereits erbrachte Gegenleistungen unverzüglich erstatten.
4.
Der Käufer wird uns nach besten Kräften unterstützen, wenn und soweit Ansprüche wegen Verlust oder Beschädigung gegenüber dem betreffenden Transportunternehmen oder der betreffenden Transportversicherung in Betracht kommen. Insbesondere wird der Käufer äußerlich erkennbare Transportschäden bei Annahme der Lieferung auf den jeweiligen Versanddokumenten vermerken und sich diesen Vermerk vom Zusteller quittieren lassen. Äußerlich nicht zu erkennende Verluste oder Beschädigungen wird der Käufer uns gegenüber unverzüglich anzeigen. Etwaige Rechte und Ansprüche des Käufers, insbesondere dessen Gewährleistungsrechte nach § 4 dieser AGB, bleiben von dieser Regelung unberührt.
5.
Bestellung/Kauf von Photovoltaik-Anlagen, sowie deren wesentliche Komponenten und Voraussetzungen gemäß § 12 Abs. 3 UStG
5.1 Es gelten die Preise zum Zeitpunkt des Vertragsschlusses. Preise sind Endpreise in EURO. Die Lieferung von Photovoltaikanlagen, sowie deren wesentliche Komponenten unterliegt dem Nullsteuersatz (0 % USt) nach § 12 Abs. 3 UStG. Die gesetzlich geschuldete Umsatzsteuer beträgt somit 0%, wenn der Kunde die angebotenen Produkte mit Lieferort innerhalb Deutschlands bestellt.
5.2. Mit Erwerb der Gegenstände bestätigt der Kunde Folgendes:
5.2.1 Der Kunde ist Betreiber der Photovoltaikanlage. Die Photovoltaik-Anlage sowie einzelne Komponenten davon werden weder entgeltlich noch unentgeltlich weitergeliefert.
5.2.2 Eine von beiden Voraussetzungen ist erfüllt:
• Die Photovoltaik-Anlage wird auf Dauer auf oder in der Nähe eines zu Wohn- oder zu öffentlichen Zwecken genutzten Gebäudes, bzw. es handelt sich um ein Gebäude, welches für anderen dem Gemeinwohl dienenden Tätigkeiten genutzt wird, aufgestellt.

• Unabhängig der Gebäudeart die installierte Bruttoleistung ≤ 30 kW (peak) laut MaStR beträgt und eine Eintragung in das MaStR tatsächlich erfolgt. In diesem Fall ist ein Nachweis der Eintragung auszuhändigen. Soweit bereits Photovoltaik-Anlagen vorliegen, darf die Bruttoleistung der kompletten Photovoltaik-Anlage nicht 30 kW (peak) überschreiten (bei Erweiterung ist die Leistung mit bestehender Photovoltaik-Anlage zu addieren). Sofern die Leistung der Anlage insgesamt mehr als 30 kW (peak) beträgt, bestätigt der Erwerber, dass die Anlage auf einem begünstigten Gebäude (Nutzung zu den im obigen Spiegelstrich genannten Zwecken beträgt flächenmäßig mehr als 10% zu Gesamtnutzfläche des Gebäudes) aufgestellt wird.
5.2.3 If individual solar modules or components essential for operation are purchased separately, the customer confirms that these are intended for a photovoltaic system that fulfills the requirements of 5.2.2. Furthermore, it is confirmed that the customer is the operator of the system for which the items are intended.
5.3 Der Kunde nimmt alle Angaben im Bestellvorgang bewusst zur Kenntnis und bestätigt mit dem Abschluss der Bestellung, dass die Voraussetzungen für den Null-Steuersatz erfüllt sind.
5.3 The customer consciously acknowledges all specifications in the ordering process and confirms by completing the order that the requirements for the zero tax rate are met.
5.4 The Client shall be entitled to subsequently invoice the Customer for additional VAT claims and any related ancillary services of the tax office arising from the delivery if the agreed conditions subsequently prove to be incorrect.
§ 3 Method of payment
1.
The purchase price is to be paid in advance by Paypal or bank transfer.
2.
The buyer is in default of payment if he does not pay the purchase price including packaging and shipping costs within 14 days of conclusion of the contract. A further reminder from us is not required in this respect. Default of payment has the statutory consequences, in particular the obligation to pay damages and interest.
§ 4 Warranty
1.
In the event of a defect in the goods delivered by us, we shall be entitled to rectify the defect or make a replacement delivery.
2.
If the rectification or replacement delivery fails, the buyer may, at his discretion, reduce the purchase price or withdraw from the purchase contract. Claims for damages in accordance with § 5 remain unaffected by this.
3.
In the case of used goods, the limitation period for customer claims arising from the warranty for defects is one year from delivery.
4.
If the buyer is an entrepreneur within the meaning of § 14 BGB, a legal entity under public law or a special fund under public law, the following special features shall apply:
a)
The warranty with regard to obvious defects is excluded if these are not reported in writing within a period of two weeks from receipt of the goods. The regulation of § 377 HGB remains unaffected by this.
b)
We shall be entitled to choose between the types of subsequent performance.
c)
Shipping costs within the scope of subsequent performance as well as the costs for the replacement of defective parts shall be borne by the buyer in this case, insofar as their amount is insignificant in comparison to the value of the subsequent performance.
d)
The limitation period for claims for defects is one year.
e)
When used items are sold, the warranty rights are excluded in their entirety. This shall not affect our liability in accordance with § 5 and recourse claims in accordance with §§ 478 et seq. BGB.
§ 5 Liability
1.
Our liability is excluded.
2.
The exclusion of liability pursuant to paragraph 1 shall not apply to damages caused by culpable breach of a material contractual obligation in a manner that jeopardizes the achievement of the purpose of the contract. Essential contractual obligations are those obligations whose fulfillment is essential for the proper execution of the contract and on whose compliance the contractual partner regularly relies and may rely. However, liability is limited to the damage typical for the contract, the occurrence of which each contracting party had to expect based on the circumstances known to it at the time.
2.
The exclusion of liability according to paragraph 1 does not apply to damages resulting from injury to life, body or health, which are based on a negligent breach of duty on our part or on the part of our legal representatives or vicarious agents.
3.
The exclusion of liability according to paragraph 1 does not apply to damages that are based on a grossly negligent breach of duty on our part or on an intentional or grossly negligent breach of duty by our legal representatives or vicarious agents
The exclusion of liability according to paragraph 1 does not apply to claims arising from the Product Liability Act.
5.
Insofar as our liability is excluded or limited, this shall also apply to the liability of our legal representatives, employees and vicarious agents.
6.
Insofar as we have given a guarantee for the quality or durability of the goods delivered by us, the content of this guarantee shall not be affected by the above limitation of liability.
§ 6 Retention of title
1.
The goods shall remain the property of the seller until settlement of the claims to which the seller is entitled under the purchase contract.
2.
If the buyer is a legal entity under public law, a special fund under public law or an entrepreneur in accordance with § 14 BGB, for whom the contract is part of the operation of his commercial business, the following applies:
The retention of title extends to all claims that the seller has against the buyer from its current business relationships. Treatment and processing shall take place to the exclusion of the acquisition of ownership in accordance with § 950 BGB. The processed goods shall then serve as security in the amount of the invoice value of the processed goods subject to retention of title. If the goods are resold, the buyer assigns any resulting claims to the seller. The assigned claim serves as security for the purchase price claim, in the case of a current account the balance claim, in the amount of the invoice value of the goods sold.
At the buyer’s request, the seller shall in this case be obliged to waive the retention of title if the buyer has fulfilled all claims in connection with the object of purchase and there is adequate security for the remaining claims from the ongoing business relationship.
7 Prohibition of assignment, offsetting
Rights arising from transactions with us, in particular warranty claims, are not transferable

The customer shall only have a right of set-off if his counterclaims have been legally established, are undisputed or ready for decision.
§ 8 Final provisions
1.
If individual provisions are invalid, this shall not affect the validity of the remaining provisions. In this case, the contracting parties shall endeavor to replace the invalid provision with a provision that comes as close as possible in economic and legal terms to what the parties intended with the original provision. This also applies to any loopholes in the contract.
2.
>If the buyer is a merchant, a legal entity under public law or a special fund under public law, the place of performance shall be Berlin and the place of jurisdiction shall be determined by our registered office. This shall also apply if the buyer – without necessarily being a merchant – has no general place of jurisdiction in Germany, if the buyer moves his domicile or habitual residence outside the area of application of the ZPO after conclusion of the contract or if his domicile or habitual residence is not known at the time the action is filed. The places of jurisdiction thus established shall be exclusively for actions against us.
